Certain Products, Services, Programs, or engagements may be subject to additional terms, including information contained on an applicable product page, service page, enrollment page, checkout page, booking page, FAQ, proposal, Statement of Work, written agreement, refund policy, or other materials provided in connection with the applicable offering. Those terms are incorporated into these Terms where applicable.

If a separate written agreement between you and Dorian Marie LLC specifically addresses the same subject matter and conflicts with these Terms, the separate written agreement will control to the extent of the conflict.

3. Eligibility and Acceptance

You must have the legal capacity to enter into these Terms and use our Products, Services, Programs, and Content.

If you are purchasing or using an offering on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

By purchasing, enrolling, booking, accessing, or using an offering, you acknowledge that you have had an opportunity to review the applicable information provided in connection with that offering and agree to comply with these Terms and any applicable additional terms.

4. Accounts and Access

Certain Products, Services, or Programs may require you to create an account or provide information to access the offering.

You are responsible for providing accurate information and maintaining the confidentiality of your login credentials. You may not share account credentials or provide unauthorized individuals with access to an account, Program, Product, or other offering unless expressly permitted by Dorian Marie LLC in writing.

You are responsible for activity conducted through your account to the extent permitted by applicable law.

Dorian Marie LLC may suspend or terminate access where reasonably necessary to protect its Content, systems, intellectual property, users, business operations, or rights, including in response to unauthorized sharing, misuse, fraud, or violation of these Terms.

5. Products, Services, and Programs

Descriptions, features, requirements, pricing, access terms, availability, timelines, eligibility requirements, certification or credential requirements, refund terms, and other details may vary by Product, Service, or Program.

You are responsible for reviewing the information provided on the applicable webpage, enrollment materials, product or service description, FAQ, checkout page, booking page, proposal, or other materials before purchasing or using an offering.

Dorian Marie LLC reserves the right to modify, update, improve, expand, replace, or discontinue Products, Services, Programs, Content, or features, subject to applicable law and any specific commitments made in writing.

Nothing in these Terms requires Dorian Marie LLC to continue offering any particular Product, Service, Program, feature, or Content indefinitely.

6. Services and Professional Engagements

Certain Services may involve consulting, research, education, strategy, advisory services, scientific review, content development, product guidance, marketing guidance, or other professional services.

The specific scope, deliverables, timelines, fees, assumptions, and responsibilities for a professional engagement may be established through a proposal, Statement of Work, booking confirmation, email confirmation, or separate written agreement.

Material work outside an agreed scope may require additional fees, revised timelines, or a separate written agreement.

Dorian Marie LLC may use reasonable efforts to perform Services in a professional manner consistent with the applicable written scope of work. Estimated hours, timelines, or delivery dates are good-faith estimates unless expressly stated otherwise in writing and may change based on revisions, responsiveness, availability of information, changes in scope, or circumstances outside Dorian Marie LLC's reasonable control.

You are responsible for providing complete, accurate, and timely information reasonably necessary for Dorian Marie LLC to perform the applicable Services.

Dorian Marie LLC is not responsible for delays or failures caused by a client's failure to timely provide information, approvals, feedback, access, materials, personnel, or other resources reasonably necessary to perform the Services. Applicable deadlines may be extended as reasonably necessary to account for such delays.

7. Independent Contractor Relationship

Where Dorian Marie LLC provides Services to a client or company, Dorian Marie LLC acts as an independent contractor.

Nothing in these Terms or in a professional engagement is intended to create a partnership, joint venture, employment, agency, fiduciary, or other similar relationship between Dorian Marie LLC and a client unless expressly agreed in a separate written agreement.

Neither party has authority to bind or obligate the other except as expressly agreed in writing.

Dorian Marie LLC may provide similar or related Services to other clients, including clients operating in similar or competing industries, provided that Dorian Marie LLC complies with applicable confidentiality obligations and does not misuse another client's Confidential Information.

8. Certification, Credentials, and Educational Programs

Some Programs or Services may include a certificate, certification, credential, designation, or other recognition.

Any applicable eligibility requirements, examination requirements, completion requirements, standards, credential terms, renewal or recertification requirements, and limitations will be described in the applicable Program or Service materials.

Completion of an educational Program or receipt of a credential does not create a medical, healthcare, teaching, professional, or other government-issued license unless expressly stated otherwise by applicable law or the issuing authority.

A credential or educational Program does not independently expand your legal scope of practice or authorize you to diagnose, treat, prescribe, or perform services that require a license or other legal authorization.

You are responsible for understanding and complying with the laws, regulations, licensing requirements, professional standards, and scope-of-practice requirements applicable to your location and professional activities.

Dorian Marie LLC does not guarantee employment, clients, income, sales, business growth, professional advancement, financial results, or any other particular outcome from participation in a Program or receipt of a credential.

9. Educational Access and Program Updates

Where an offering includes ongoing or lifetime educational access, the specific access terms will be described in the applicable Program or enrollment materials.

Educational access and active credential status are separate concepts unless expressly stated otherwise.

Dorian Marie LLC may update educational materials based on changes in scientific information, research, ingredients, formulations, technology, industry practices, professional standards, or other relevant developments.

Updates may include revised written materials, videos, graphics, downloads, assignments, references, or other educational Content.

Dorian Marie LLC does not guarantee that every historical version of educational Content will remain available in its original form.

10. Purchases and Payments

You agree to provide accurate and complete billing, payment, shipping, and contact information when purchasing Products, Services, or Programs.

You authorize Dorian Marie LLC and its applicable payment processor or ecommerce provider to process payments using the payment method you provide.

Prices, fees, taxes, shipping charges, and other applicable costs will be disclosed at or before purchase where required by law.

Prices may change at any time, but changes will not retroactively modify the price of a completed purchase unless otherwise required by law.

Payment plans or installment arrangements, where offered, do not eliminate your obligation to pay the full amount agreed upon.

Failure to make required payments may result in suspension or termination of access or Services, subject to applicable law and any specific payment terms applicable to the offering.

Third-party payment processors, ecommerce platforms, and other service providers may have their own terms and policies governing payment processing.

11. Refunds, Cancellations, Exchanges, and Rescheduling

Refund, cancellation, exchange, and rescheduling terms may vary depending on the Product, Service, Program, or purchase.

The applicable refund, cancellation, exchange, or rescheduling policy provided at the time of purchase, enrollment, booking, or engagement will govern where applicable.

Unless otherwise stated or required by law, digital Products, downloadable materials, and online access may not be refundable once access has been provided, downloaded, or otherwise made available.

Physical Products may be subject to separate return or exchange terms.

Consultations and professional Services may be subject to separate cancellation and rescheduling terms.

Nothing in these Terms waives any refund, cancellation, withdrawal, or other consumer right that cannot legally be waived.

12. Educational, Scientific, and Professional Information

Dorian Marie LLC provides educational, scientific, informational, and professional Content and Services based on the scope of the applicable offering.

Information is provided for educational, informational, or professional purposes and is not guaranteed to be complete, current, accurate, error-free, or appropriate for every individual, situation, product, formulation, business, or professional circumstance.

Scientific research, ingredients, formulations, products, regulations, industry practices, and other information may change over time.

Where Services involve recommendations, opinions, analyses, observations, or guidance, those recommendations are advisory in nature. You remain responsible for determining whether and how to implement them.

Where appropriate, you should consult qualified legal, medical, regulatory, financial, or other professionals regarding matters outside the scope of Dorian Marie LLC's Services.

13. Consultations and Recommendations

Where a Service involves consultation, Dorian Marie LLC's recommendations are based on information reasonably available at the time and information provided by the client or customer.

You are responsible for providing complete and accurate information relevant to the applicable Service.

Dorian Marie LLC does not provide medical diagnosis or treatment through educational or consulting Services unless expressly stated otherwise and legally authorized.

Recommendations regarding products, ingredients, haircare, scalp care, business strategy, research, marketing, content, or other matters do not constitute legal, medical, regulatory, governmental, or other official approval.

Where a client uses Dorian Marie LLC's recommendations in connection with advertising, labeling, product claims, commercialization, regulatory submissions, or other regulated activities, the client remains responsible for determining compliance with applicable laws, regulations, and industry standards.

14. No Guarantee of Results

Dorian Marie LLC does not guarantee any particular personal, educational, professional, business, financial, employment, client, sales, marketing, product, hair, scalp, or other outcome from the use of its Products, Services, Programs, or Content.

Individual results and outcomes may vary based on circumstances, implementation, professional judgment, products used, underlying conditions, market conditions, business decisions, and other factors outside Dorian Marie LLC's control.

Testimonials, examples, case studies, statements, photographs, demonstrations, or other representations of results are provided for illustrative or informational purposes and do not constitute a guarantee of similar results.

15. Assumption of Risk

You acknowledge that using educational or professional information may involve making decisions based on your individual circumstances.

You are responsible for determining whether information, recommendations, Products, Services, Programs, ingredients, products, techniques, or other Content are appropriate for your particular situation.

To the fullest extent permitted by law, you assume responsibility for decisions and actions you take based on information or recommendations provided by Dorian Marie LLC.

Nothing in this section is intended to waive rights or protections that cannot legally be waived.

16. Intellectual Property

All Content created, owned, licensed, or commissioned by Dorian Marie LLC remains the property of Dorian Marie LLC or its applicable rights holder unless expressly stated otherwise in a separate written agreement.

This includes, without limitation:

  • Photographs and other visual content

  • Graphics, illustrations, charts, diagrams, and scientific or educational visuals

  • Presentations and recordings

  • Worksheets, guides, downloads, references, and cheat sheets

  • Other original or proprietary Content created or commissioned by Dorian Marie LLC

Dorian Marie LLC's rights may arise under copyright, trademark, trade secret, contract, or other applicable intellectual property laws.

Seeing a marketing post, purchasing a Product, enrolling in a Program, or receiving Services does not transfer ownership of Dorian Marie LLC's intellectual property unless a separate written agreement expressly provides otherwise.

No Unauthorized Copying, Reproduction, or Reposting

All original content created, owned, licensed, or published by Dorian Marie LLC, including educational materials, textbook content, graphics, illustrations, diagrams, charts, photographs, videos, written content, social media content, presentations, worksheets, downloads, and other original materials, is protected by applicable intellectual property laws and remains the property of Dorian Marie LLC or the applicable rights holder unless expressly stated otherwise in writing.

You may not copy, screenshot, photograph, reproduce, download for redistribution, republish, repost, upload, distribute, modify, adapt, sell, license, teach from, incorporate into another product, or otherwise use Dorian Marie LLC's copyrighted content outside the limited purposes expressly permitted by these Terms or in a separate written agreement.

This restriction applies even when the content is publicly available on a website, Instagram, TikTok, Facebook, YouTube, LinkedIn, or another social media or online platform. Public availability does not constitute permission to reproduce or republish the underlying content.

Tagging, crediting, mentioning, or linking to Dorian Marie LLC does not by itself create permission to copy, reproduce, or republish copyrighted content. Permission must be obtained when required.

For example, taking a screenshot of a textbook graphic, educational diagram, social media graphic, or other copyrighted material and uploading that screenshot to another website or social media account without permission may constitute unauthorized use and may violate these Terms and applicable intellectual property law.

Dorian Marie LLC reserves all rights not expressly granted under these Terms. Unauthorized use may result in removal requests, suspension or termination of access where applicable, and pursuit of other remedies available under applicable law.

17. Background Intellectual Property and Know-How

Nothing in these Terms transfers ownership of Dorian Marie LLC's pre-existing or independently developed intellectual property.

This includes, without limitation, methodologies, templates, frameworks, systems, processes, educational materials, research methods, know-how, trade secrets, concepts, techniques, skills, experience, and other background intellectual property.

Where Dorian Marie LLC creates a customized deliverable for a client, ownership or permitted use of that specific deliverable may be addressed in the applicable proposal, Statement of Work, or separate written agreement.

Unless otherwise agreed in writing, providing a customized deliverable does not transfer ownership of Dorian Marie LLC's underlying methodologies, systems, frameworks, know-how, pre-existing materials, or other background intellectual property incorporated into or used to create that deliverable.

Dorian Marie LLC may continue to use and develop generalized ideas, concepts, techniques, methodologies, know-how, skills, experience, and non-confidential learnings acquired through its work, provided that it does not disclose or misuse another party's Confidential Information.

18. Limited License to Use Purchased and Provided Materials

Where you purchase or receive access to Dorian Marie LLC Content, you receive a limited, non-exclusive, non-transferable, revocable license to use the applicable Content for the personal, educational, or professional purpose for which it was provided, subject to these Terms and any additional applicable terms.

Unless expressly permitted in writing, you may not:

  • Copy or reproduce substantial portions of proprietary Content

  • Distribute, forward, share, sell, license, sublicense, or commercially exploit proprietary Content

  • Upload proprietary Content to public websites, file-sharing services, databases, repositories, or other platforms

  • Share Program access, textbooks, downloads, worksheets, videos, examinations, case studies, or other proprietary materials with unauthorized individuals

  • Use proprietary Content to create a competing educational Program, certification, course, publication, or substantially similar commercial offering

  • Create derivative educational products or materials based substantially on Dorian Marie LLC's proprietary Content

  • Remove copyright, trademark, attribution, or proprietary notices

  • Represent Dorian Marie LLC's Content as your own

  • Use Dorian Marie LLC's proprietary Content to train, develop, fine-tune, or improve artificial intelligence or machine-learning systems, except where expressly authorized in writing

  • Use Dorian Marie LLC's proprietary materials in a manner that falsely suggests sponsorship, endorsement, affiliation, certification, partnership, or authorization

Nothing in these Terms prohibits uses expressly permitted by applicable law.

19. Prohibited Sharing of Program Materials

Access to a Program or educational Product is generally individual unless Dorian Marie LLC expressly states otherwise.

You may not provide unauthorized individuals with access to your account, Program, textbook, digital materials, downloads, worksheets, videos, exams, case studies, or other proprietary educational Content.

Unauthorized sharing, reproduction, distribution, or access may result in suspension or termination of access without refund, to the extent permitted by law, and may result in additional legal remedies.

20. Copyright and Trademark Notices

Dorian Marie LLC's original Content, branding, program names, credential names, logos, trademarks, service marks, and proprietary terminology may be protected by applicable intellectual property laws.

You may not use Dorian Marie LLC's name, trademarks, branding, credential names, or proprietary identifiers in a way that falsely suggests sponsorship, endorsement, affiliation, certification, partnership, authorization, or ownership.

Nothing in these Terms grants you a license to use Dorian Marie LLC's trademarks or branding except as expressly authorized in writing or permitted by law.

21. Social Media and Marketing Content

The public availability of Content through social media, websites, email, advertising, or other public channels does not mean that the Content is free to copy, reproduce, republish, distribute, or commercially exploit.

Dorian Marie LLC retains its rights in original social media posts, captions, videos, photographs, graphics, educational materials, advertisements, promotional materials, and other marketing Content.

You may share or link to publicly available Content using the sharing functionality provided by the applicable platform, provided that you do not remove attribution, materially alter the Content in a misleading manner, or represent the Content as your own.

Substantial reproduction, commercial use, licensing, republishing, or other reuse requires prior written permission unless otherwise permitted by law.

22. User-Submitted Content

If you voluntarily submit information, feedback, testimonials, photographs, reviews, comments, assignments, case studies, or other Content to Dorian Marie LLC, you retain ownership of your Content unless otherwise agreed in writing.

You grant Dorian Marie LLC the limited rights reasonably necessary to receive, store, review, administer, and use the submitted Content for the purpose for which it was provided.

Any separate permission required for Dorian Marie LLC to use your Content for marketing, advertising, publication, or other public-facing purposes will be obtained where required.

You are responsible for ensuring that Content you submit does not unlawfully disclose another person's confidential, proprietary, or personal information and that you have the rights necessary to submit it.

23. Third-Party Platforms and Services

Dorian Marie LLC may use third-party platforms and service providers to operate its business, including ecommerce, payment processing, learning management, scheduling, communications, email, hosting, cloud storage, shipping, analytics, customer support, social media, and other technology services.

Your use of third-party platforms may be subject to the third party's own terms, privacy policies, and other applicable agreements.

Dorian Marie LLC is not responsible for the independent policies, practices, security, availability, performance, or content of third-party platforms except to the extent required by applicable law.

A third-party platform used to facilitate an offering does not become the provider of Dorian Marie LLC's underlying Product, Service, Program, or Content unless expressly stated otherwise.

24. Website and Platform Use

You agree to use Dorian Marie LLC websites, platforms, and Content lawfully and in accordance with these Terms.

You may not:

  • Gain unauthorized access to accounts, systems, networks, or restricted areas

  • Interfere with or disrupt websites, platforms, or services

  • Introduce malware, malicious code, or harmful software

  • Circumvent security or access controls

  • Engage in fraud or unlawful activity

  • Scrape, systematically copy, reproduce, or extract substantial Content without permission

  • Misrepresent your identity or affiliation

  • Use the websites or Content to develop or facilitate a competing product or service using proprietary materials

  • Use the websites, Content, or Services in a manner that violates applicable law or the rights of others

25. Confidentiality

Where you provide Dorian Marie LLC with non-public information in connection with a Service or professional engagement, Dorian Marie LLC will use reasonable care in handling such information and will comply with any applicable confidentiality obligations or separate written confidentiality agreement.

Similarly, where Dorian Marie LLC provides non-public or confidential information to you in connection with a professional engagement, you agree not to disclose or misuse that information except as authorized.

Confidential information may include business strategies and plans, product formulations or development information, research and data, marketing plans, internal communications, proprietary materials, trade secrets, and other non-public information.

A separate nondisclosure or confidentiality agreement may establish additional or different confidentiality obligations and will control to the extent of any conflict.

Unless otherwise agreed in writing, confidentiality obligations relating to a professional engagement will survive termination for five years, except that trade secrets will remain protected for as long as they qualify as trade secrets under applicable law.

This section does not apply to information that is publicly available through no breach of an obligation, was lawfully known before disclosure, is independently developed without use of confidential information, or is lawfully received from a third party without a confidentiality obligation.

26. Confidentiality of Client Relationships

Unless prohibited by a written confidentiality obligation or separate agreement, Dorian Marie LLC may identify a company or organization as a current or former client in professional marketing materials, portfolio materials, biography, or client lists.

Dorian Marie LLC will not disclose a client's Confidential Information in doing so.

Any public-facing use of a client's name, logo, confidential information, quotes, statements, or other identifying materials may be subject to separate written permission where required.

27. Educational Program Updates and Changes

Dorian Marie LLC may revise educational Programs and materials to reflect changes in scientific information, research, technology, ingredients, formulations, industry practices, standards, or other relevant developments.

Program updates may include changes to written materials, videos, graphics, downloads, assignments, references, assessments, or other Content.

Dorian Marie LLC may modify or discontinue portions of a Program or offering subject to applicable law and any specific contractual commitments applicable to the offering.

28. Website Availability and Changes

Dorian Marie LLC does not guarantee that websites, online platforms, Products, Services, Programs, or Content will always be available, uninterrupted, secure, compatible with every device or browser, or free from errors.

Dorian Marie LLC may modify, suspend, restrict, or discontinue any portion of its websites, platforms, Content, Products, Services, or Programs.

Dorian Marie LLC may correct errors, update information, and make changes or improvements without prior notice where permitted by law.

29. Privacy

Dorian Marie LLC's collection and use of personal information is governed by its applicable Privacy Policy.

Where applicable, consumer health information is additionally governed by Dorian Marie LLC's separate Consumer Health Data Privacy Policy.

By using Dorian Marie LLC's websites, Products, Services, or Programs, you acknowledge that you have had an opportunity to review the applicable privacy policies.

30. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DORIAN MARIE LLC'S WEBSITES, PRODUCTS, SERVICES, PROGRAMS, CONTENT, AND OTHER OFFERINGS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

DORIAN MARIE LLC DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ANY WARRANTY THAT AN OFFERING WILL MEET YOUR PARTICULAR REQUIREMENTS OR PRODUCE A PARTICULAR RESULT.

DORIAN MARIE LLC DOES NOT WARRANT THAT INFORMATION WILL ALWAYS BE COMPLETE, CURRENT, ACCURATE, ERROR-FREE, OR SUITABLE FOR EVERY INDIVIDUAL OR CIRCUMSTANCE.

NOTHING PROVIDED BY DORIAN MARIE LLC SHOULD BE UNDERSTOOD AS MEDICAL DIAGNOSIS OR TREATMENT, LEGAL ADVICE, REGULATORY APPROVAL, FINANCIAL ADVICE, OR OTHER PROFESSIONAL ADVICE OUTSIDE THE EXPRESS SCOPE OF THE APPLICABLE SERVICE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.

31. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DORIAN MARIE LLC AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE ANY PRODUCT, SERVICE, PROGRAM, CONTENT, WEBSITE, OR OTHER OFFERING.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DORIAN MARIE LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PARTICULAR PRODUCT, SERVICE, PROGRAM, OR OTHER OFFERING WILL NOT EXCEED THE AMOUNT YOU PAID TO DORIAN MARIE LLC FOR THE SPECIFIC PRODUCT, SERVICE, PROGRAM, OR OFFERING GIVING RISE TO THE CLAIM.

THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

32. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Dorian Marie LLC and its owners, members, officers, employees, contractors, agents, representatives, and subcontractors from and against claims, demands, liabilities, damages, judgments, settlements, penalties, losses, costs, and reasonable attorneys' fees arising out of or relating to:

  1. Your violation of these Terms;

  2. Your misuse of a Product, Service, Program, website, or Content;

  3. Your unauthorized reproduction, distribution, or use of Dorian Marie LLC's intellectual property;

  4. Your violation of another person's rights;

  5. Your unlawful conduct; or

  6. Your use or implementation of recommendations, deliverables, or Content in a manner outside the scope for which they were provided.

This indemnification obligation does not apply to the extent prohibited by applicable law and does not require you to indemnify Dorian Marie LLC for liability caused by Dorian Marie LLC's own conduct where such indemnification is prohibited by law.

33. Suspension or Termination

Dorian Marie LLC may suspend or terminate access to a Product, Service, Program, account, website, or other offering where reasonably necessary due to:

  • Violation of these Terms

  • Unauthorized sharing or distribution of Content

  • Unauthorized access or circumvention of access controls

  • Fraud or attempted fraud

  • Misuse of Dorian Marie LLC's intellectual property

  • Conduct that materially interferes with Dorian Marie LLC's operations or rights

  • Nonpayment, where applicable

Where termination occurs because of a violation of these Terms, Dorian Marie LLC may restrict future access without refund to the extent permitted by applicable law and the applicable refund policy.

Termination does not eliminate obligations that accrued before termination.

Sections concerning intellectual property, confidentiality, payment obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will survive termination.

34. Force Majeure

Dorian Marie LLC will not be responsible for delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, severe weather, pandemic, war, terrorism, labor disputes, governmental action, embargoes, interruptions of utilities or communications, technology failures, or other events that could not reasonably be prevented or avoided.

Dorian Marie LLC will use reasonable efforts to resume performance when practicable.

Where a Force Majeure Event materially affects a Service or engagement, applicable timelines may be reasonably extended or the parties may discuss modification or termination of the affected engagement.

35. Dispute Resolution

Before initiating formal proceedings concerning a dispute arising out of or relating to these Terms or any Product, Service, Program, or other offering, the parties will first attempt in good faith to resolve the dispute informally.

You may contact Dorian Marie LLC at dori@dorianmarie.biz with a description of the dispute and the resolution you are seeking.

If the dispute cannot be resolved through good-faith informal efforts, the dispute will be resolved in accordance with the arbitration provisions below, to the extent arbitration is permitted and enforceable under applicable law.

Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief from a court where reasonably necessary to protect intellectual property, confidential information, or other rights, or from exercising any right or remedy that cannot legally be waived.

36. Arbitration

To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or any Product, Service, Program, or other offering that is subject to arbitration will be resolved through binding arbitration.

The arbitration will be conducted in the State of Washington, unless the parties agree otherwise in writing or applicable law requires a different location or procedure.

The arbitration will be conducted by a mutually agreed-upon arbitrator or, if the parties cannot agree, by an arbitrator selected in accordance with the applicable arbitration rules or law.

The arbitration will be conducted in accordance with applicable Washington law and the rules of the applicable arbitration provider, if one is specified in the applicable agreement. If no arbitration provider or specific rules are identified, the parties will use a legally available arbitration process consistent with applicable law.

The arbitrator may award any remedy that would otherwise be available under applicable law, subject to any enforceable limitations contained in these Terms and applicable law.

Either party may seek temporary, preliminary, or injunctive relief from a court of competent jurisdiction where reasonably necessary to protect intellectual property, confidential information, or other rights pending arbitration.

Nothing in this section is intended to waive or restrict any right or requirement that cannot legally be waived, including rights or protections provided under applicable arbitration law.

37. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

To the extent a court proceeding is permitted or required in connection with these Terms, including a proceeding relating to arbitration, the parties agree that the matter may be brought in a court of competent jurisdiction in the State of Washington, subject to applicable law.

38. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The invalid or unenforceable provision will be modified or limited only to the extent necessary to make it enforceable while preserving the parties' intended purpose as closely as permitted by law.

39. No Waiver

Dorian Marie LLC's failure to enforce any provision of these Terms does not constitute a waiver of that provision or the right to enforce it later.

Any waiver must be made in writing and will apply only to the specific circumstance for which it was given unless expressly stated otherwise.

40. Assignment

You may not assign or transfer your rights or obligations under these Terms without Dorian Marie LLC's prior written consent, except where such restriction is prohibited by law.

Dorian Marie LLC may assign or transfer these Terms in connection with a merger, reorganization, sale, transfer, or other disposition of all or substantially all of its business or assets, or as otherwise permitted by law.

41. Changes to These Terms

Dorian Marie LLC may update these Terms from time to time.

The "Last Updated" date at the top of this page will reflect the date of the most recent revision.

Where required by law, Dorian Marie LLC will provide notice of material changes through appropriate means.

Your continued use of the applicable websites, Products, Services, Programs, or Content after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

42. Entire Agreement

These Terms, together with any applicable purchase terms, enrollment materials, refund policies, privacy policies, booking terms, proposals, Statements of Work, written agreements, and other terms expressly incorporated by reference, constitute the agreement governing your use of the applicable Dorian Marie LLC offering.

A separate written agreement between Dorian Marie LLC and a client or customer will control over these Terms to the extent the separate agreement expressly addresses the same subject matter and conflicts with these Terms.

These Terms supersede prior versions of Dorian Marie LLC's general website Terms of Service concerning the same subject matter.
